Any pricing, quotes, estimates, unit costs, landed costs, or product prices communicated through this website, by email, in proposals, or in any other format may reflect any combination of manufacturer or supplier costs; compensation to Importivity for sourcing, consulting, project management, quality control, logistics coordination, and related services; allowances for contingencies, currency fluctuations, freight, tariffs, duties, inspection costs, or tooling amortization; and other amounts as determined by Importivity in its commercial judgment.

Importivity does not represent that any quoted price reflects only the direct cost of goods or services from a third-party supplier, nor that any specific markup, margin, or compensation amount is separately itemized within a quote. The specific compensation structure applicable to any engagement is set out in the executed agreement, which is the sole binding source of pricing and compensation terms.

No Fiduciary Duty

Unless expressly stated in a separately executed written agreement, Importivity does not act as a fiduciary, agent, or trustee of any client or prospective client.

The relationship between Importivity and its clients is a commercial, arms-length relationship governed by the applicable executed agreement. Importivity owes no duty to disclose the internal composition of its pricing, its arrangements with suppliers, or the structure of its compensation beyond what is set out in that executed agreement.

Third-Party Relationships

Importivity may reference, introduce, or connect users with third-party manufacturers, suppliers, freight forwarders, logistics providers, customs brokers, or other service providers.

Importivity does not manufacture products and is not responsible for the actions, performance, quality output, or regulatory compliance of any third party. Importivity may act as a commercial principal in its transactions with third-party manufacturers and suppliers.

Manufacturer and supplier identities, where disclosed, are disclosed under the terms of the applicable engagement, which may include mutual non-circumvention and confidentiality obligations. Any direct engagement with third parties outside the scope of an Importivity engagement is at your own risk.
